01Acceptance of these terms

These Terms & Conditions ("Terms") are a binding agreement between you and Notebiva, a brand of The Nelson M Group LLC ("Notebiva," "we," "us"). They govern your use of notebiva.com and related services, including email and text-message programs (the "Services"). By using the Services or submitting a form, you agree to these Terms, our Privacy Policy, and, if you opt in to texts, our SMS Terms. If you do not agree to them, you should not use the Services.

02What Notebiva is, and is not

Notebiva is an information service. We publish general, plain-language data about how clinical research works, how to read a study listing, what informed consent means, and which questions to ask a study team, and let visitors opt in to related updates. We never give medical advice, diagnosis, or treatment, do not run, recruit for, or enroll people in clinical studies, and do not match or refer people to studies or research sites, and we will not share your details with study sponsors, research sites, recruiters, pharmaceutical or device companies, lead-generation companies, or any any other business partners.

• Decisions about your health and about taking part in any research are yours. Reading our content does not obligate you to do anything.
• Your doctor and the study team, not Notebiva, decide whether a study is right for you and explain its risks, procedures, and conditions.
• Every study is different. We will not guarantee that any study is safe, suitable, or open to you, or that you will qualify for or benefit from any research.

03Eligibility

Use of the Services requires that you be at least 18 years of age, located in the United States, and legally able to contract. You may submit information solely about yourself or about someone who has authorized you to act for them.

04Your information and accuracy

You agree to give accurate and current information and to update it if it changes. You may only provide a mobile number that you own or are authorized to use. If your number changes or is reassigned, please reply STOP from the old number or contact us so that we do not message someone else.

05Communications and text-message consent

If you select to opt in, you consent to being contacted by email and, if you tick the boxes that apply, by automated text messages as set out in the SMS Terms. Consent to texts is optional, is not a condition of purchase or of using the Services, and may be withdrawn at any time by replying STOP. Message frequency varies. Message and data rates may apply. • STOP: Reply STOP to any message to opt out (STOPALL, UNSUBSCRIBE, CANCEL, END and QUIT also work). You will get one confirmation text and then no more messages.
• HELP: Reply HELP to any message for help, or contact us by email at [email protected] or by phone at 877-270-1731. Also, please message HELP to any of our numbers to receive help or information about the number.

Mobile information and opt-in data are not sold or shared with third parties or affiliates for marketing or promotional purposes. See the Privacy Policy and SMS Terms.

07Acceptable use

Prohibited conduct includes: (a) false, misleading, or third-party information; (b) unlawful, fraudulent, or abusive use; (c) interference with the Services or unauthorized access attempts; (d) bots or automated form submission; (e) copying, scraping, or reselling content without permission; and (f) impersonation. We can suspend or end your access if you engage in any of it.

08Third-party organizations and links

Organizations, programs, and products mentioned on or linked from the Services (for example government agencies, hospitals, or patient organizations) are managed by third parties, not by us. We will not recommend any product, plan, or provider, and we are not answerable for their conduct, content, or results. Your relationship with any doctor or study team is between you and them.

09Intellectual property

The Services, including the Notebiva name, logo, text, graphics, and design, are our property or that of our licensors, and intellectual property laws protect them. The license we grant you to view and use the Services is limited, revocable, non-exclusive, non-transferable, and for personal, non-commercial use. The Site's photographs are used under free-use licenses.

10Disclaimers

The services and content come "as is" and "as available," without express or implied warranties such as merchantability, fitness for a particular purpose, accuracy, and non-infringement. We cannot warrant that the services will be uninterrupted, error-free, or secure, nor that a message will be delivered or delivered on time.

Notebiva does not supply financial, legal, or tax advice, and makes no representation about any medical outcome, study result, or eligibility.

11Limitation of liability

To the fullest extent permitted by law, Notebiva and The Nelson M Group LLC, and their members, managers, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of (or inability to use) the services, or from any health or research decision you make or do not make. Our total liability for any claim relating to the services will not exceed one hundred U.S. dollars ($100).

Certain jurisdictions do not permit some limitations, so part of the above may not apply to you. These Terms do not limit any liability that the law does not allow to be limited.

12Indemnification

If your violation of these Terms, your misuse of the Services, or your submission of a phone number or other information you were not authorized to offer leads to claims, damages, or expenses (among them reasonable attorneys' fees), you agree to indemnify and hold harmless The Nelson M Group LLC and its affiliates and personnel.

13Disputes, governing law, and arbitration

Informal resolution first. Before you file any claim, reach us at [email protected] and allow us 30 days to try to resolve it before you file a claim.

Binding arbitration. Except where a matter belongs in small claims or involves injunctive relief for intellectual-property misuse, you and Notebiva or The Nelson M Group LLC agree that any dispute arising out of or relating to these Terms or the Services will be decided by final, binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in your county of residence or by video or phone, as you select. The arbitrator may award the same individual relief as a court, and judgment may be entered in any court of competent jurisdiction.

Class-action waiver. Where the law allows, you and Notebiva each agree that claims will be brought only individually, and not as a plaintiff or class member in a class, collective, or representative action.

Opt-out. You can opt out of arbitration within 30 days of your first acceptance of these Terms by emailing [email protected] using the subject line "Arbitration Opt-Out" and giving your name and mobile number.

Governing law. These Terms are governed by the Federal Arbitration Act and to the law of the state of The Nelson M Group LLC's principal place of business, disregarding conflict-of-law rules. Other than as the arbitration clause offers, courts of that state, state and federal, have exclusive jurisdiction.

14Termination

You may stop using the Services at any time, and may opt out of messages by replying STOP. We may suspend or terminate access at our discretion, including for violations of these Terms. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and disputes) will survive termination.

15Changes

We can amend these Terms by posting a new version with a new "Last updated" date; if you keep using the Services after the effective date, you accept the amended Terms. We will give legally needed notice of material changes.

16General

Together with the Privacy Policy and SMS Terms, these Terms are our entire agreement with you on this subject. If a part is held unenforceable, the remainder stays in effect. Not enforcing a provision does not waive it. You cannot assign these Terms without our consent, but we may assign them as part of a merger or sale of the business.
